CAIER Schedule™ contains valuable trade secrets and proprietary technology developed through substantial investment of time, expertise, research, development, testing, and refinement.

Users acknowledge and agree that the following constitute confidential and proprietary trade secrets of CAIER Schedule™, whether or not specifically identified as such:

• Scheduling methodologies and optimization frameworks
• Heuristic scheduling algorithms
• Artificial intelligence models and workflows
• Prompt engineering techniques and AI orchestration systems
• Circadian Alignment Index™ (CAI™) methodologies, formulas, calculations, weighting systems, benchmarks, classifications, thresholds, and scoring frameworks
• Schedule quality, distribution, wellness, and operational analytics methodologies
• Data models, data structures, and system architecture
• Reporting, dashboard, visualization, and analytics frameworks
• Proprietary business processes, workflows, and operational methodologies
• Any non-public enhancements, modifications, derivatives, improvements, or future developments thereof

Users shall not access or use CAIER Schedule™ for the purpose of discovering, extracting, analyzing, benchmarking, replicating, reproducing, developing, or improving any competing product, service, algorithm, methodology, model, platform, or technology.

The unauthorized acquisition, disclosure, use, replication, or attempted replication of CAIER Schedule™ trade secrets is strictly prohibited and may result in immediate termination of access, injunctive relief, monetary damages, recovery of attorneys' fees where permitted by law, and any other remedies available under applicable law.

Users acknowledge that monetary damages alone may be insufficient to remedy unauthorized use or disclosure of CAIER Schedule™ trade secrets and that CAIER Schedule™ shall be entitled to seek equitable and injunctive relief in addition to any other available remedies.

CAIER Schedule™ is the exclusive property of AIER Technologies, Inc. and its founder, Mike Zimmer, MD FACEP. The platform, its software, source code, algorithms, designs, methodologies, data models, documentation, and all related intellectual property are solely owned and controlled by AIER Technologies, Inc. and its founder.

CAIER Schedule™ is not owned, operated, sponsored, endorsed, or otherwise affiliated with any individual hospital, health system, emergency department, physician group, or medical employer (each a “Health System”). No Health System has any right, title, or interest in the platform, its technology, or its underlying intellectual property.

The platform was developed independently by AIER Technologies, Inc. and its founder outside the scope of any employment, consulting, or contractor relationship with any Health System. CAIER Technologies, Inc. and its founder represent that no Health System resources, equipment, facilities, confidential information, or proprietary materials were used in the creation, development, or operation of CAIER Schedule™.

Users acknowledge and agree that access to CAIER Schedule™ is provided by AIER Technologies, Inc. alone, and that any schedule data, provider information, or operational content entered into the platform by a user or their organization remains subject to the user’s or organization’s own obligations to its respective Health System. AIER Technologies, Inc. does not assume responsibility for how users manage their employer obligations, confidentiality duties, or restrictive covenants.

If you are bound by employment agreements, restrictive covenants, or institutional policies that may affect your use of CAIER Schedule™, you are solely responsible for ensuring that your use complies with those obligations. AIER Technologies, Inc. recommends that users consult qualified legal counsel before using the platform in any context where such obligations may apply.
